Welcome to WeOutside. These Terms of Service ("Terms") are a binding
agreement between you and WeOutside, together with its owners and operators
("WeOutside," "we," "us," or
"our"), and govern your access to and use of the WeOutside mobile
application, website, and related services (collectively, the "Service").
Please read them carefully. By using the Service, you agree to these Terms.
01 Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.
If you use the Service on behalf of a venue, promoter, or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.
02 Eligibility & Age Requirement
WeOutside is a nightlife discovery platform intended for adults. You must be at least 18 years old to create an account or use the Service.
Many venues, events, and experiences surfaced through the Service are restricted to guests who are 21 or older or have other age, dress, or entry requirements. WeOutside does not control those requirements. You are solely responsible for confirming and complying with the age, identification, and entry rules of any venue or event, and with all applicable laws — including those governing alcohol and controlled substances.
WeOutside does not sell, serve, or supply alcohol, and nothing in the Service is an offer or encouragement to consume alcohol unlawfully or irresponsibly.
03 Your Account
To use most features you must create an account. You may sign in using your phone number, email address, or a supported third-party sign-in such as Google. You agree to:
- Provide accurate, current, and complete information and keep it up to date;
- Choose a display name that is not offensive, misleading, or impersonating;
- Keep your login credentials confidential and secure;
- Accept responsibility for all activity that occurs under your account; and
- Notify us promptly at [email protected] of any unauthorized use.
You may maintain only one account unless we expressly permit otherwise. We may refuse, suspend, or reclaim any account or display name at our discretion.
04 The Service
WeOutside helps you discover nightlife and events across the Dallas–Fort Worth area. Features may include a live venue "heat" map, event and flyer listings, a real-time community feed, squads, saved venues, perks, and a levels/experience system. We are continually improving the Service and may add, change, suspend, or remove features at any time without liability to you.
The Service requires certain device permissions to function fully — including location, camera, and photo access. You control these permissions through your device settings, as described in our Privacy Policy. Some features will not work if permissions are declined.
05 Heat Scores & Venue Information
Venue "heat" scores, crowd levels, event details, hours, distances, foot-traffic estimates, and similar information are provided for general informational and entertainment purposes only. They are generated from real-time signals and user contributions, may be delayed, incomplete, estimated, or inaccurate, and can change at any moment.
WeOutside does not guarantee that any venue will be open, safe, available, at any particular capacity, or as described. Always confirm details directly with the venue or event organizer before making plans. Your reliance on any information in the Service is at your own risk.
06 Acceptable Use
You agree not to, and not to allow anyone else to:
- Post or share content that is unlawful, harassing, hateful, threatening, defamatory, obscene, sexually explicit, or that promotes violence or discrimination;
- Harass, stalk, dox, impersonate, or endanger any person, or use the Service to track or locate someone without their consent;
- Post false, misleading, or manipulated venue reports, heat signals, reviews, or flyers, or otherwise game the heat, feed, or levels systems;
- Promote or facilitate illegal activity, including the unlawful sale or use of alcohol, drugs, or weapons;
- Upload content that infringes anyone's intellectual property, privacy, or publicity rights;
- Collect, scrape, or harvest data or content from the Service, or access it by automated means, without our written permission;
- Interfere with, disrupt, reverse engineer, or attempt to gain unauthorized access to the Service or its systems;
- Use the Service for spam, unsolicited promotion, or commercial purposes not authorized by us; or
- Violate any applicable law or the rights of others.
We may review, moderate, remove, or restrict content and accounts that we believe violate these Terms, but we are not obligated to monitor the Service and are not responsible for user content.
07 Your Content
The Service lets you create and share content — including display names, profile photos, event flyers, venue reports, feed posts, comments, reactions, and other materials ("User Content"). You retain ownership of your User Content.
By submitting User Content, you grant WeOutside a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting and display), publish, publicly perform or display, and distribute that content in connection with operating, promoting, and improving the Service. This license ends when you delete your User Content, except where it has been shared with others who have not deleted it, or where we must retain it to comply with law.
You represent that you own or have the necessary rights to your User Content, that it does not violate these Terms or any law, and that any people depicted have consented to its use. You are solely responsible for your User Content and the consequences of sharing it.
08 Venues, Promoters & Events
WeOutside is an independent discovery platform. We do not own, operate, endorse, sponsor, or control the venues, promoters, or events listed in the Service, and we are not a party to any transaction, reservation, admission, or event you arrange through or after using the Service.
If you access WeOutside as a venue or promoter partner, you additionally agree that: (a) you are authorized to publish the events, flyers, offers, and information you submit; (b) your listings and offers are accurate and honored as described; (c) you will comply with all applicable laws, licenses, and permits; and (d) you grant us the right to display and promote your listings within the Service. We may remove any listing at our discretion.
09 Perks, XP & Rewards
The Service may offer experience points ("XP"), levels, badges, titles, and perks such as line skips, deals, or member offers. These are promotional features that have no monetary value, are non-transferable, and cannot be exchanged for cash.
Perks and offers may be provided by third-party venues or partners and are subject to their availability, terms, and honor. We may change, expire, or discontinue XP, levels, badges, and perks at any time. Any misuse, fraud, or manipulation may result in forfeiture and account action.
10 Intellectual Property
The Service — including its software, design, text, graphics, logos, the WeOutside name and marks, the "heat" system, and all related intellectual property — is owned by WeOutside or its licensors and is protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.
Copyright & DMCA
We respect intellectual property rights and expect our users to do the same. If you believe content on the Service infringes your copyright, send a notice to our designated agent at [email protected] that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and where it is located on the Service; (d) your contact information; (e) a statement of your good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act. We will remove infringing material and, in appropriate cases, terminate the accounts of repeat infringers.
11 Third-Party Services
The Service relies on and links to third-party products and services — including, for example, maps and location providers, sign-in providers, cloud hosting and database providers, image providers, and push-notification services. Your use of those services may be governed by their own terms and privacy policies. We do not control and are not responsible for third-party services, content, or websites, and linking to or integrating them does not imply endorsement.
12 Going Out & Assumption of Risk
Nightlife involves inherent risks. You are solely responsible for your own safety and conduct when you go out. You agree to:
- Never drink and drive — arrange safe, sober transportation;
- Follow all venue rules and the directions of venue staff and security;
- Look out for your own belongings, companions, and wellbeing; and
- Comply with all applicable laws.
To the fullest extent permitted by law, you assume all risks associated with attending venues or events, meeting other users, and going out, and you release WeOutside from any related claims. WeOutside is not responsible for the acts, omissions, or safety of any venue, promoter, event, or other user.
13 Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access, remove content, or close your account at any time — with or without notice — if we believe you have violated these Terms, created risk or legal exposure, or if we discontinue the Service. Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnification, and dispute terms.
14 Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WEOUTSIDE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
We do not warrant that the Service will be uninterrupted, secure, error-free, or that any information (including heat scores, event details, or venue data) will be accurate, complete, or reliable. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
15 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WEOUTSIDE AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY VENUE OR EVENT, OR ANY USER CONTENT — WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16 Indemnification
You agree to indemnify, defend, and hold harmless WeOutside and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms or any law, or your violation of the rights of any third party.
17 Disputes & Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Dallas County, Texas will have exclusive jurisdiction over any dispute, and you consent to their jurisdiction and venue.
To the extent permitted by law, you and WeOutside agree to first try to resolve any dispute informally by contacting us at [email protected]. Any claims will be brought in an individual capacity and not as a plaintiff or class member in any class or representative action. If any part of this section is unenforceable, the remainder still applies.
18 Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice through the Service. Your continued use of the Service after changes take effect means you accept the updated Terms.
